Terms and Conditions for SoundRise

Welcome to SoundRise ("we," "our," or "us"). By accessing or using https://soundrise.io (the "Website") and our web application (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with these Terms, you must not use the Service.

1. Description of Service

SoundRise is a Software-as-a-Service (SaaS) platform that helps musicians, artists, and music teams generate, schedule, and publish short-form videos (such as TikTok-style clips, Reels, or Shorts) to promote their music and drive engagement across supported platforms. The Service may include tools for AI-assisted content generation, campaign management, scheduling, and analytics.

2. Account Registration and Access

To use certain features of the Service, you may be required to create an account and authenticate via third-party providers (for example, Google). You agree to:

• Provide accurate and complete registration information
• Maintain the security of your login credentials
• Be fully responsible for all activities that occur under your account
• Notify us immediately if you suspect any unauthorized use of your account

3. User Content and Licenses

You retain all rights to the music, audio, videos, images, text, and other content you upload or connect to the Service (collectively, "User Content"). By using the Service, you represent and warrant that:

• You own or have obtained all necessary rights, licenses, and permissions to use and share the User Content
• Your User Content does not infringe, misappropriate, or violate any third party's rights, including copyright, trademark, or privacy rights

By submitting or connecting User Content to the Service, you grant SoundRise a non-exclusive, worldwide, royalty-free license to process, transform, and use the User Content solely for the purpose of providing and improving the Service, including generating and publishing promotional videos on your connected platforms as authorized by you.

4. Subscriptions, Payments, and Refund Policy

Access to certain features of SoundRise may require a paid subscription or one-time purchase. When you subscribe or make a purchase, you authorize us and our third-party payment processors (such as Stripe) to charge your selected payment method for the applicable fees.

Because SoundRise is a digital SaaS product and access to the Service is granted immediately after purchase, all sales are final. No refunds, credits, or partial refunds will be provided under any circumstances, including for unused time, unused features, or auto-renewal of subscriptions, unless required by applicable law.

5. Third-Party Platforms and Integrations

The Service may integrate with third-party platforms, such as YouTube, TikTok, Instagram, or other social and video services ("Third-Party Platforms"). When you connect these accounts, you authorize SoundRise to use the permissions you grant (for example, via APIs) to:

• Upload or schedule videos on your behalf
• Set or update titles, descriptions, and visibility settings
• Access limited account information necessary to provide the Service

We do not:

• Access private messages or unrelated personal data
• Like, comment, follow, or subscribe on your behalf
• Edit or delete your existing content on Third-Party Platforms
• Publish content without your explicit authorization

Your use of Third-Party Platforms is governed by their own terms of service and privacy policies. By integrating these services, you agree to comply with all applicable terms, including (where relevant) the YouTube Terms of Service, TikTok Terms of Service, and Google's Privacy Policy. SoundRise is not responsible for any actions taken by Third-Party Platforms, including account suspensions, removals, or content restrictions.

6. User Data and Privacy

We collect and process certain personal data (such as your email address, authentication identifiers, and payment information) in order to provide the Service. We may also collect usage data to improve the product experience.

7. Acceptable Use and User Responsibilities

• Share your account or credentials with others, or use another person's account without permission

We reserve the right, at our sole discretion, to suspend or terminate accounts that violate these Terms or that pose a risk to the security, integrity, or reputation of the Service.

8. Intellectual Property

All software, features, designs, branding, and content provided by SoundRise (excluding User Content) are owned by us or licensed to us and are protected by applicable intellectual property laws. Except as expressly permitted, you may not copy, modify, reproduce, distribute, or create derivative works from any part of the Service without our prior written consent.

9. Limitation of Liability

The Service is provided on an "as-is" and "as-available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, SoundRise and its owners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from:

• Your use of or inability to use the Service
• Any unauthorized access to or use of our servers or your account
• Any suspension, restriction, or termination by Third-Party Platforms
• Any deletion, loss, or alteration of User Content or data stored in the Service

10. Governing Law

These Terms are governed by and construed in accordance with the laws of Italy, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Italy.
